The webpages available at www.eduguide.sg, whose URL (Uniform Resource Locator) link and all linked pages under these domain names ("Site"), are owned and operated by Crimson Earth Pte Ltd (Co. Reg. No. 200513209K), (“EduGuide.sg”, “we” or “us” as the case may be), a Singapore registered company and is accessed by you under the Terms of Use described below ("Terms of Use”).By accessing this Site or using any part of the Site or any content or services (as each is defined below) on the Site, you agree to be bound by these Terms of Use. If you do not agree to all these Terms of Use, then you may not access the site or use the content or any services in the Site. By accessing or continuing to access this Site, you expressly assent to all of these Terms of Use.
2. MODIFICATIONS OF TERMS OF USE
We may modify these Terms of Use at any time at our sole discretion without notice to you and such modification shall be effective immediately upon posting of the modified Terms of Use on this Site. You agree to review the Terms of Use periodically to be aware of such modifications and your continued access to or use of the Site shall be deemed your conclusive acceptance of and agreement to be bound by the modified Terms of Use.
3. DESCRIPTION OF SERVICE
Subject to full compliance with the Terms of Use, EduGuide.sg may offer to provide certain services and content, as described more fully on the Site. “Services” shall include, but not be limited to, any service and Content EduGuide.sg performs for you, as well as the offering of any materials displayed or performed on the Site including, but not limited to hyper-links, text, user particulars, user comments, votes, ratings, messages, information, data, graphics, news articles, photographs, images, illustrations, software, audio clips and video clips on the Site.
The Service may include advertisements, certain communications from us, such as service announcements, administrative messages and Newsletters. Unless explicitly stated otherwise, any new features that augment or enhance the current Service, including the release of new features, shall be subject to the Terms of Use. The Service is provided "AS-IS" and that EduGuide.sg assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalisation settings EduGuide.sg may change, suspend or discontinue the Services including any Content for any reason, at any time, including the availability of any feature or Content. EduGuide.sg may also impose limits on certain features and Services or restrict your access to parts or all of the Services without notice or liability.
Unless expressly stated otherwise, no information presented in the Service or in connection with any products and services forming part of the Service shall be deemed as a binding offer by us or the relevant third party.
4. YOUR REGISTRATION OBLIGATIONS
In consideration of your use of the Service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under Singapore laws or other applicable jurisdiction.
As a condition to using the Services, you are required to register with EduGuide.sg and select a password and screen name (“User name”). You shall provide EduGuide.sg with (a) true, accurate, complete, and updated registration information (the “Registration Data”) as prompted by the registration process and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. Failure to do so shall constitute a breach of the Terms of Use, which may result in immediate termination of your EduGuide.sg account.
You may not (i) select or use as a User name a name of another person with the intent to impersonate that person; (ii) use as a User name a name subject to any rights of a person other than you without appropriate authorisation; or (iii) use as a User name a name that is otherwise offensive, vulgar or obscene. EduGuide.sg reserves the right to refuse registration of or terminate your account and refuse any and all current or future use of the Service (or any portion thereof) in its discretion. Services are available only to individuals who are at least 21 years old, whether acting on their own behalf or as an authorised employee or representative of a corporation or other business entity. If you do not so qualify, do not attempt to register for or use the Services.
We can also suspend or terminate use of the Services by anyone who does not follow these Terms of Use.
5. MEMBER ACCOUNT, PASSWORD AND SECURITY
You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify EduGuide.sg of any unauthorised use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. EduGuide.sg is not liable for any loss or damage arising from your failure to comply with this Section 5.
6. PRIVACY POLICY
The information we obtain through your use of the Service, including but limited to, the Registration Data and certain other information about you, whether through the Registration process or otherwise, is subject to our Privacy Policy which is incorporated by reference into and made a part of this Terms of Use. By giving or making available the Registration Data and such other information about yourself to us, you agree and acknowledge that we may use or release such information to third parties as specified in the Privacy Policy, and that you give consent to such use or disclosure.
You further agree that providing us with your Registration Data and/or using the Service, you expressly request to receive and consent to receiving communications and materials from EduGuide.sg from time to time. For more information, see our full Privacy Policy. You understand that through your use of the Service you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to Singapore and/or other countries for storage, processing and use by EduGuide.sg.
You also agree that we may use your personal information for planning, research, design and marketing of services, rending assistance to law enforcement, government or regulatory agencies, or complying with any applicable laws or any order of court. Any information disclosed in the public areas of the Site becomes public information. You should exercise caution when disclosing your personal information in this way.
7. USER CONDUCT
As a condition of use, you promise not to use the Services for any purpose that is unlawful or prohibited by these Terms of Use or Privacy Policy of EduGuide.sg.
All Content, whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not EduGuide.sg, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. EduGuide.sg does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. By using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will EduGuide.sg or our licensors, suppliers, vendors, partners, experts, affiliates, officers, agents or employees, as the case may be, be liable in any way for any Content, including, but not limited to, any exposure to offensive, indecent or objectionable Content, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.
By way of example, and not as a limitation, you agree not to use the Services:
(a) For any illegal or unauthorised purpose;
(b) To abuse, harass, threaten or intimidate other EduGuide.sg users or to impersonate anyone;
(c) To upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, infringing, libellous, invasive of another's privacy, subversive, hateful, racially or religiously offensive or otherwise violates any law or right of any third party;
(d) To upload, post, email, or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any EduGuide.sg user;
(e) To upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements) or violate any laws in your jurisdiction (including but not limited to copyright laws);
(f) To upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
(g) To upload, post, email, transmit or otherwise make available any Content promoting unsolicited or unauthorised advertising, promotional materials, “junk mail”, “spam”, ”chain letters”, “pyramid schemes”, “affiliate programs”, “multi-level marketing schemes”, sites or blogs repurposing existing content or any other form of solicitation;
(h) To electronically “stalk” or otherwise harass any EduGuide.sg user;
(i) To upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
(j) To intentionally or unintentionally violate any applicable law, statute, ordinance, regulation, rule or code, including, but not limited to, any regulations, rules, notices, instructions or directives of any regulatory body or authority, governmental agency or national or other securities exchange;
(k) To create separate user accounts with the intention of artificially inflating or altering the view count, comments, or any other EduGuide.sg Service, including by way of creating separate user accounts for the purpose of artificially altering EduGuide.sg Services;
(l) To collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs (a) through (k) above.
With the exception of search engines or for accessing RSS feeds, you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not:
(i) Take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure;
(ii) Interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or
(iii) Bypass any measures we may use to prevent or restrict access to the Site;
You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by EduGuide.sg or submitted to EduGuide.sg in all parts of the Service.
You acknowledge, consent and agree that EduGuide.sg may, in its sole discretion, without giving any notice, access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms of Use; (c) respond to claims or allegations that any Content violates the rights of third parties or authorities relating to such Content; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of EduGuide.sg, its users and the public or for no reason at all.
You understand that the technical processing and transmission of the Service, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
You understand that the Service and software embodied within the Service may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by EduGuide.sg and/or content providers who provide content to the Service. You may not attempt to override or circumvent any of the usage rules embedded into the Service. Any unauthorised reproduction, publication, further distribution or public exhibition of the materials provided on the Service, in whole or in part, is strictly prohibited.
8. CONTENT SUBMITTED OR MADE AVAILABLE FOR INCLUSION ON THE SERVICE
All information and materials of any kind, including graphics, text, or otherwise posted by someone on the Site ("Member Content") are subject to the following terms:

(c) We do not screen, monitor, edit, or review Content. We do have the right to monitor or remove any Content at any time and without notice if we believe it will improve our Site.
EduGuide.sg does not claim ownership of Content you submit or make available for inclusion on the Site. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Site, you grant EduGuide.sg the following worldwide, royalty-free, non-exclusive, perpetual, irrevocable and fully sublicensable license(s) as applicable:
(a) With respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, the license to use, distribute, reproduce, modify, adapt, publish, broadcast, translate, publicly perform and publicly display such Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed
(b) With respect to Registration Data and member profile, including but not limited to First Name, Family Name, Country, Gender, Home Address, Postal Code, Work Status, School Name, Age, Child’s Name, Child’s Age, Child’s Gender, Child’s School, you submit or make available for inclusion on publicly accessible areas of the Service, the license to use, distribute, reproduce, modify, publish, broadcast, adapt, publicly perform and publicly display such Content on the Service.
“Publicly accessible” areas of the Service are those areas intended by EduGuide.sg to be available to the general public.
You should also be aware that any message posted to our Site will become public and any personal information you submit will be accessible by any visitors to the Site and other personal information you choose to make public will be accessible by members and visitors.
9. CONTRIBUTIONS TO EduGuide.sg
By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to EduGuide.sg, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) EduGuide.sg is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) EduGuide.sg shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) EduGuide.sg may have something similar to the Contributions already under consideration or in development; (e) your Contributions automatically become the property of EduGuide.sg without any obligation of EduGuide.sg to you; and (f) you are not entitled to any compensation or reimbursement of any kind from EduGuide.sg under any circumstances.
10. SPECIAL ADMONITIONS FOR INTERNATIONAL USE
Recognising the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from Singapore or the country in which you reside.
11. SPECIAL ADMONITION FOR HEALTH MATTERS
The Contents of EduGuide.sg, such as hyperlinks, text, graphics, images, information obtained from EduGuide.sg’ licensors, and other material on the Site are for information only. The Content is not intended to be a substitute for professional medical advice, diagnosis or treatment. 12. USE OF WEB SPACE
EduGuide.sg provides members with free web space for their Content on the Site. Free web space, as defined by EduGuide.sg, is comprised of hypertext mark-up language (html) and associated files, intended solely for the visual presentation of PARENTING RELATED CONTENT on the members' Content pages. The spirit of free web space is specifically not intended as a storage facility for members' personal digital files. Using it as such is a violation of the Terms of Use. Also please note that pictures are only saved for the purposes of display on EduGuide.sg, not for storage or other purposes. Members cannot assume that EduGuide.sg will preserve the quality or resolution of any picture uploaded to EduGuide.sg.
You acknowledge that EduGuide.sg may, in its sole discretion and without prior notice to you, establish general practices and limits concerning use of the Service, including without limitation, the manner in which the Service is used, the amount of web space and the maximum number of days that Content will be retained by the Service. You agree that EduGuide.sg has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by or made available through the Service.
13. COPYRIGHT COMPLAINTS
EduGuide.sg respects the intellectual property rights of others, and we ask our users to do the same. Please note that Content is available for anyone to view, but not necessarily to access, download, print, copy and/or utilize.

14. INDEMNITY
You agree to indemnify, defend and hold harmless EduGuide.sg, its directors, officers, employees, panel of experts (qualified professionals in parenting and child-development), content partners (organisations contributing content in parenting and child development matters), suppliers, licensors, agents and any third party content providers, from and against any losses, damages, claims, cost, expenses, demands, and actions, due to or arising out of Content you submit, post, transmit, or otherwise make available through the Site, your access or connection to the Site, your violation of these Terms of Use, or your violation of any rights of another, or your breach of any applicable law. These obligations will survive any termination of your relationship with EduGuide.sg or your use of the Site. EduGuide.sg reserves the right to assume the defense and control of any matter subject to indemnification by you in which event you will cooperate with EduGuide.sg in asserting any available defenses.
15. DISCLAIMER OF WARRANTIES
You expressly understand and agree that:
(a) your use of the service is at your sole risk. The service, content, and site are provided on an "as is" basis without warranties of any kind, either express or implied, including without limitation, implied warranties of merchantability, fitness for a particular purpose or non-infringement.
(b) EduGuide.sg and its officers, employees, agents, partners, licensors, suppliers and vendors make no warranty that (i) the service will meet your requirements; (ii) the service will be uninterrupted, timely, secure or error-free; (iii) the service will be accessible at any time or at all times via the channel selected or used by you, (iv) the information, content or advertisements contained on, distributed through, or linked, downloaded or accessed from or through the service (“materials”) or the results that may be obtained from the use of the service will be accurate or reliable; (iv) the quality of any products, services, information or other material purchased or obtained by you through the service (“products”) will meet your expectations; and (v) any errors in the software will be corrected.
(c) any reliance upon or use of any of the Content or materials shall be at your own discretion and risk. We reserve the right, in our sole discretion and without any obligation, to make improvements to, or correct any error or omissions in, any part of the service or the materials. The materials are provided or made available by us on an "as is" basis, and we expressly disclaim any and all warranties, express or implied, including without limitation warranties of merchantability and fitness for a particular purpose, with respect to any of the materials or the products.
(d) EduGuide.sg has no control OVER and no duty to take any action regarding: which users gain access to the site; what EFFECTS the content may have on you; how you may interpret or use the content; or what actions you may take as a result of having been exposed to the content. You release EduGuide.sg from all liability for you having acquired or not acquired content through the site. (e) any material downloaded or otherwise obtained through the use of the service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or equipment or loss of data that results from the download of any such material.
(f) no advice or information, whether oral or written, obtained by you from EDUGUIDE.SG OR our licensors, suppliers, vendors, officers, agents or employees or through or from the service shall create any warranty not expressly stated in the Terms of Use (save for any fraudulent misrepresentation by us or our licensors, suppliers, vendors, parent, holding, subsidiary or related company, affiliate, officer, agent or employee, as the case may be).
(g) a small percentage of users may experience epileptic seizures when exposed to certain light patterns or backgrounds on a computer screen or while using the service. Certain conditions may induce previously undetected epileptic symptoms even in users who have no history of prior seizures or epilepsy. If you, or anyone in your family, have an epileptic condition, consult your physician prior to using the service. Immediately discontinue use of the service and consult your physician if you experience any of the following symptoms while using the service: dizziness, altered vision, eye or muscle twitches, loss of awareness, disorientation, any involuntary movement, or convulsions.

Because EduGuide.sg has no control over such sites and resources, you acknowledge and agree that EduGuide.sg is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that EduGuide.sg shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
You are granted a limited, revocable and nonexclusive right to create a hyperlink to the homepage of EduGuide.sg.com so long as the link does not portray EduGuide.sg, its affiliates or other items or services in a false, misleading or offensive matter. You may not use the EduGuide.sg logo or graphic as part of the link without the express written permission of EduGuide.sg.
18. LIMITATION OF LIABILITY
You expressly understand and agree that EduGuide.sg and officers, employees, agents, partners and licensors do not assume any legal liability or responsibility for the accuracy, completeness, or usefulness of any information, apparatus, product or process disclosed on the site or other contents accessible from the site. To the maximum extent permissible by law EduGuide.sg shall not be liable for any incidental, consequential, direct, indirect or any losses or damages whatsoever (including, but not limited to, loss or corruption of data, loss of profits, goodwill, bargain or opportunity or loss of anticipated savings or business interruption or any other loss, whether in an action of contract, negligence or other tortious action), arising out of the service, the materials and the products or in connection with the use of or inability to use the site, delays, inaccuracies or errors in the information or in the transmission of the site, or any information or transactions provided on or over the site or downloaded or hyperlinked from the site, or performance of the contents on this site, or any other matter relating to the service, even if EduGuide.sg has been advised of the possibility of such damages. Noting in this terms o use shall limit the liability of us or our officers, employees, agents, partners and licensors, as the case may be for death or personal injury resulting from our or their negligence.
If you are dissatisfied with any portion of the Site, or with any of the Terms of Use, your sole and exclusive remedy is to discontinue using the Site.
19. TERMINATION
You agree that EduGuide.sg may, without prior notice or liability, immediately terminate or suspend any and all Services and your EduGuide.sg account, and access to the Service, under circumstances, including but not limited to, (a) breaches or violations or purported breaches or violations of the terms or conditions of the Terms of Use or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification to the Service (or any part thereof), (d) unexpected technical or security issues or problems, (e) engagement by you in fraudulent or illegal activities, and/or (f) nonpayment of any fees owed by you in connection with the Services.
Upon termination of your account, your right to use the Services will immediately cease. If you wish to terminate your EduGuide.sg account, you may simply discontinue using the Services. All provisions of the Terms of Use, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
20. NO RESALE OF SERVICE
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service (including your EduGuide.sg User Name), use of the Service, or access to the Service.
21. EduGuide.sg PROPRIETARY RIGHTS
You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.
You agree not to modify the Software in any manner or form, nor to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorised access to the Service. You agree not to access the Service by any means other than through the interface that is provided by EduGuide.sg for use in accessing the Service.
22. GENERAL
Your access to or use of the Site, as well as these Terms of Use shall be governed by and construed in accordance with Singapore laws and the parties submit to the exclusive jurisdiction of the Singapore courts.
EduGuide.sg’ failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right. If any part of these Terms of Use is held to be unenforceable, the remainder will remain in full force and effect.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.
These Terms of Use are for the benefit of EduGuide.sg and its directors, officers, employees, panel of experts (qualified professionals in parenting and child-development), content partners (organisations contributing content in parenting and child development matters), suppliers, licensors, agents, and any third party content providers to the Site. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on his own behalf.
